The Louisiana LLC Annual Report

Louisiana keeps its LLC compliance list short: one annual report, one registered agent, every year. The catch is timing. Louisiana is one of the few states that will not even let you file early, so the whole exercise comes down to a 30-day window you have to hit. Here is how it works under La. R.S. 12:1308.1.

When Your Louisiana Annual Report Is Due

The report is due on or before the anniversary date of your LLC's organization, every year. If the state filed your articles on May 10, your report is due by May 10 for the life of the company.

Now the Louisiana twist: geauxBIZ only accepts the report within the 30 days before your anniversary. There is no filing in January for a May deadline here. Louisiana Annual Report Fee

The fee is $30 by mail or $35 online through geauxBIZ (the portal adds a convenience charge to the base fee). Cheap by any standard, which makes missing it purely a calendar failure rather than a money problem.

How to File Through geauxBIZ

1. Sign in at geauxbiz.sos.la.gov once your 30-day window opens (businesses in certain parishes have been required to file online since 2018; everyone else can also file by mail).
2. Confirm or update the report contents: entity name, charter number, registered office, registered agent, principal business office, and the names and addresses of members or managers. Every address must be a physical municipal street address; a PO box alone is not accepted.
3. Pay the fee: $35 online, or $30 with a mailed paper report.
4. Save the confirmation. One note for paper filers: a routine no-change report needs no notary, but changing or adding a registered agent on a paper filing requires the new agent's notarized affidavit of acceptance. Online agent changes use email acceptance instead.

Missing the Deadline: Good Standing and the Revocation Clock

Louisiana lists no late fee for the LLC annual report. What happens instead is status damage. The moment the anniversary passes unfiled, the LLC moves to not in good standing. Let the reports stack up and roughly three consecutive unfiled years brings revocation of the articles under La. R.S. 12:1308.1 and 12:1339, which is Louisiana's version of administrative termination. Reinstatement means formal proceedings, a reinstatement fee (the domestic LLC category runs about $75), and bringing every missed report current, all while your liability protection sits in question.
